Affiliate Program Terms

These terms are a contract between you (the affiliate) and Luxi Horizon SNC, the Swiss company that operates LiveProfit ("we", "us"). By joining the LiveProfit affiliate program, you agree to them.

1. Joining the program

Anyone aged 18 or over who can legally enter into a contract can apply. We review every application by hand and may accept or decline it at our discretion, without having to give a reason. The program runs on our affiliate platform, Shoffi (shoffi.app): you create your affiliate account there, get your personal referral link, and follow your referrals, earnings and payouts in its dashboard. Shoffi's own terms also apply to your use of their platform.

We may also give you a personal promo code (for example a discount on the first month for your audience). Your code and your link both identify you as the referring affiliate.

2. How commissions work

• Rate. You earn 30% of each subscription payment made by a merchant you referred (a "referral").
• What counts. Recurring LiveProfit subscription charges billed through Shopify, monthly or yearly. One-time charges, if we ever offer any, do not earn a commission.
• The amount actually paid. The commission is calculated on the amount the merchant actually pays for the subscription, after any discount or promo code (including your own code). Free trial days, including extended trials, generate no commission because nothing is charged.
• Refunds and chargebacks. If a charge is refunded, credited, reversed or disputed, the related commission is cancelled, or deducted from your future earnings if it was already paid.
• Pending period. A commission becomes available once Shopify has confirmed the charge. To cover refunds, it may stay pending for up to 30 days.
• No cap. There is no limit on the number of merchants you can refer or on what you can earn.

3. Commission duration and changes

For referrals made under these terms, you earn the commission for as long as the referred merchant keeps a paid LiveProfit subscription, with no time limit, subject to sections 9 and 11. If the merchant cancels or uninstalls, commissions stop. If they come back later, commissions resume only if they are still attributed to you under section 4.

We may change the commission rate or duration in the future. Any such change applies only to merchants referred after the change takes effect. Merchants you referred before keep the terms that applied when they were referred. We will notify you at least 15 days in advance.

4. Attribution and tracking

• A referral is credited to you when a merchant installs LiveProfit from the Shopify App Store after following your referral link, as tracked by Shoffi, or when the merchant uses your personal promo code.
• Each store can be attributed to only one affiliate. If two affiliates claim the same store, the most recent valid referral link click before the install applies. If tracking cannot settle it, we decide based on the evidence available, and our decision is final.
• Tracking depends on Shopify, Shoffi and the merchant's browser. We do our best to credit every genuine referral, but we cannot guarantee that every install is tracked (for example when a merchant clicks your link on one device and installs on another). Section 5 covers those cases.
• Merchants who already had LiveProfit installed, or who were already attributed to another affiliate, before following your link are not new referrals.

5. Referrals reported by hand

If a merchant installed LiveProfit because of you but your link was not tracked, you can report the referral in Shoffi within 30 days of the install, with the store's .myshopify.com address and any proof you have. We approve or decline each report at our discretion. We will usually approve it when the store used your personal promo code, or when the merchant confirms that you referred them. Unless we decide otherwise, commissions on an approved report start from the date of approval.

6. Payouts

• Minimum. You can request a payout in Shoffi once your available balance reaches $50 (USD). Below that, your balance carries over.
• Timing. We process payout requests once a month and pay each request within 60 days of receiving it, usually much faster.
• Method. Payouts are made in USD by PayPal, Wise or Revolut. PayPal, to the account in your Shoffi profile, is the default. If you prefer Wise or Revolut, add those details to your Shoffi profile and tell us before requesting a payout.
• Fees. We pay the fees charged to us for sending the payout. Fees charged on your side (receiving, currency conversion, withdrawal to your bank) are yours.
• Accurate details. You are responsible for keeping your payment details correct. We are not liable for a payout sent to the details you provided.
• Unclaimed balances. If your account is closed for a reason other than a breach of these terms, we pay any available balance of $50 or more. Balances under $50 on a closed account, or balances that cannot be paid because we never received valid payment details within 12 months, are forfeited.

7. Taxes

You are responsible for declaring your affiliate income and paying any taxes, social contributions or VAT that apply to you in your country. Commission amounts are the total we pay: if VAT or a similar tax applies to your services, it is included. We may ask you for tax information or an invoice when the law requires it, and may hold payouts until we receive it.

8. Promotion rules

You may promote LiveProfit through content, communities, newsletters, client recommendations and paid ads, as long as you follow these rules. You must not:

• Refer yourself: install LiveProfit through your own link or code on a store you own, manage or work for, or create stores or accounts to generate commissions.
• Bid on our brand: run search or social ads on "LiveProfit" or close variants and misspellings, or use them in domain names, social handles or ad URLs.
• Pretend to be us: present yourself as LiveProfit, as an official partner beyond being an affiliate, or as our support.
• Mislead: make false promises (guaranteed profits, invented features or results), invent prices or discounts we don't offer, or make false or defamatory claims about competitors.
• Manipulate reviews: write, buy or reward reviews of LiveProfit on the Shopify App Store or elsewhere, or ask merchants to leave a review in exchange for anything. Shopify forbids this.
• Pay for installs: offer merchants money, cashback or gifts to install LiveProfit, or post codes on coupon or cashback sites without our written approval.
• Spam: send unsolicited bulk messages, emails or DMs, or use bots, cookie stuffing, hidden links or any other technique that fakes or forces clicks or installs.
• Break the law or the rules of the platforms you promote on.

Disclosure is mandatory. Whenever you share your link or code, clearly say that it is an affiliate link and that you may earn a commission (for example "#ad", "affiliate link" or "I earn a commission if you sign up"), as required by consumer protection and advertising laws.

You may use the LiveProfit name, logo and screenshots only to promote LiveProfit, without altering them. We can ask you to change or remove content that breaks these rules or harms our brand, and you agree to do so promptly.

9. Fraud and termination

• You can leave the program at any time. Your available balance is handled as described in section 6.
• We can suspend or close your affiliate account at any time, with notice. If we close it for a reason other than a breach of these terms, commissions on merchants you already referred continue under section 3 for as long as the program runs.
• If you break these terms, or if we reasonably suspect fraud, we may withhold commissions while we investigate, cancel commissions linked to the breach, close your account immediately, and stop all future commissions. Commissions obtained through a breach are not owed, and if they were paid, we may recover them.

10. Our relationship and liability

You act as an independent contractor. Nothing in these terms makes you our employee, agent, partner or representative, and you cannot make commitments on our behalf. You are not required to promote LiveProfit exclusively, and we may work with other affiliates, including in your market.

To the maximum extent permitted by law, our total liability to you under the program is limited to the commissions we paid you in the 12 months before the claim, and we are not liable for indirect losses such as lost profits. We do not guarantee any level of earnings, or that the program, LiveProfit, Shopify or Shoffi will be available without interruption. Nothing here limits liability that cannot be limited under Swiss law. You are responsible for your own content and promotion, and for any claims arising from it.

11. Changes to the program or these terms

We may update these terms as the program evolves. We will notify you of material changes by email or through Shoffi at least 15 days before they take effect, and changes to commission rate or duration only apply to new referrals, as set out in section 3. If you continue in the program after the effective date, you accept the new terms. If you don't, you can leave before that date.

We may end the affiliate program entirely. If we do, we will give at least 90 days' notice, and we will pay every commission earned on charges made before the end date, provided the payout conditions are met.

12. Governing law and contact

These terms are governed by Swiss law, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Neuchâtel, Switzerland, subject to mandatory provisions of applicable law.
